Corporate Governance Professional

International Management Services Ltd. is looking for a Corporate Governance Professional, with ICSA chartered status with the following duties and responsibilities:

• Advising and leading on governance issues which are vital to the board members of our clients and directors of hedge fund clients on effective decision making, legal and regulatory matters and risk management to ensure effective corporate governance of a range of entities.
• Taking appointments as officer (including as director and/or AML Officer) on funds, Web3 and other entities.
• Develop and manage strategies to ensure compliance with legal and statutory developments and requirements, which will include interpreting and advising on new legislation and statements of guidance issued from time to time.
• Identify areas for improved corporate governance and lead on the implementation of changes.
• Manage board, shareholder, and trustee communications, reports and meetings and if required, produce accurate minutes of meetings.

Required Qualifications & Experience

• Law degree and a postgraduate degree or master’s in corporate governance or company law.
• Chartered Status with ICSA (The Governance Institute) together with at least 5 years solid experience in governance of offshore structures (particularly funds and licensed entities) to enable them to perform their obligations effectively and in accordance with relevant laws, rules and statements of guidance, which requires a thorough and advanced knowledge of corporate governance issues and experience serving on boards of funds and other entities.
• Excellent knowledge of Cayman company law, regulation and administration and a strong understand of anti-money laundering requirements.
• Experience serving as director and AML Officer on a range of entities, including funds and/or Web3 entities.
• Experience enabling the candidate to actively promote good governance, conduct and ethics at our client’s own business level as well as ensuring that our policies and procedures relating to our mutual funds and Web3 client business lines represent best industry practice, which will require an ability to (i) recognise legal and regulatory developments and assist management to develop strategies to manage those risks appropriately; (ii) identify areas for improved governance and assist management to implement changes; and (iii) manage board, shareholder and trustee communications, reports and meetings, producing accurate minutes where required.
• Excellent understanding of hedge fund terminology and administration.
• Impeccable written and oral communication skills (i.e. thorough command of the English language including excellent spelling, grammar and punctuation).

• A strong sense of motivation, commitment and responsibility. Our client seeks a long-term commitment and so is looking for someone that is not a job-hopper.
• Excellent organizational skills with proven ability to meet tight deadlines.
• Ability to work on own initiative and work overtime when required.

The postholder may also be asked to perform other duties commensurate with their qualifications and experience. Salary range is US$80,000 to US$95,000 per annum commensurate with qualifications, knowledge and experience working 40 hours per week. Benefits as deemed by law.
