Job Description

This position reports at entity level to the General Counsel in Cayman and functionally to the Managing Director and will provide general legal advice and counsel on a wide variety of issues that give rise to legal and reputational risk and be responsible for managing the Bank’s Corporate Secretarial Function.

Your responsibilities will include

  • Providing the Managing Director and senior management with general legal advice and counsel on a wide variety of issues that give rise to legal and/or reputation risk.
  • Providing advice on all matters of corporate and banking law, regulatory and compliance matters relating to the structure and operations of the Bank.
  • Ensuring that the Bank’s exposure to legal risk is managed in a commercially sensitive and practical manner.
  • Providing ongoing advice on current and emerging legal issues.
  • Reviewing of changes to local regulations and provide consultative feedback.
  • Preparation and review of bank policies.
  • Assisting with drafting and review of documentation relating to the bank’s business.
  • Liaising with and manage the relationship with external counsel on corporate and litigation matters as required.
  • Providing corporate secretarial services to the Board and Committee, along with oversight and coordination of all regulatory and corporate governance functions.
  • Providing recommendations to the Board and senior management on corporate governance best practice for the Bank.
  • Coordinating and attending Board meetings of relevant companies and providing accurate minutes of the deliberations and decisions of those Boards (or committees of the Board).
  • Updating Board and Committee charters and Corporate Governance Policies from time-to-time.
  • Overseeing all regulatory corporate governance filings with the CIMA.
  • Development, implementation, communication and maintenance of governance processes and procedures.
  • Preparing and maintaining corporate records and other essential documents.

Your qualifications and skills include

  • Minimum Education: Baccalaureate degree (B.A., B.S.); Legal -BL, LLB or BA (Legal). Qualified as a lawyer in Cayman.
  • At least 3-5 years’ PQE experience or equivalent in a law firm or in-house environment.
  • Accurate and concise drafting skills; ability to respond in a timely and effective manner to requests.
  • Sound legal analysis; ability to work proactively and show initiative, judgment and discretion.
  • Ability to work effectively and efficiently under pressure and to take initiative; effective communication, negotiating and analytical skills.
  • Knowledge of law and regulation applicable to Banks and other financial intermediaries e.g. trusts, asset managers, securities brokers, an advantage.
  • Team player, willing to support member of the Group Legal Function outside of Cayman, as necessary.
  • Ability to manage a diverse work portfolio.
  • High personal standards, self-motivation and ability to work with limited supervision.
  • Ability to grasp quickly abstract concepts of law and make timely, innovative and practical decisions to resolve problems.
  • Knowledge and experience in corporate secretarial functions and Board governance.
  • Proven understanding of the Regulatory framework in Cayman Islands would be an asset.
  • Support the General Counsel in the management of the Group Legal function.
