Job Description

The successful applicant will be required to assist with the day to day running of a company management company; including review and draft various templates for all types of corporate services, including, Articles of Association, Memorandum of Association, Registered Office Agreements, Subscription Agreements, Share Purchase Agreements and other corporate contracts which give rise to corporate transactions; deal with all aspects of local licensing for local companies; be familiar with all regulatory filing requirements for CIMA-licensed or regulated entities, time recording, billing and recovery; assist with Economic Substance-related matters; assist with KYC and due diligence monitoring and periodic reviews; file and case management; minute-taking for corporate meetings; responsibility for ensuring all BOTA requirements are met in a timely manner; be responsible for filing BI-Annual Returns and Active Client Lists as required; ensure all AML Policies & Procedures and other Company Manuals are current and complied with; assist with all aspects of day-to-day office management at Maricorp Services Ltd; attend client meetings locally and overseas; assist with annual external audits and preparation of audited financial statements; marketing and website content input; keep up-to-date with new legislation.

EXPERIENCE & QUALIFICATIONS

  • Have at least 10 years’ experience in company management, ideally as a lawyer. Holding a business-related degree or professional legal qualification (attorney) would be a distinct advantage.
  • Have considerable working knowledge of CAP, CORIS, DITC and REEFs.
  • Demonstrate an ability to work independently and a high degree of accuracy and attention to detail is essential. Direct client-facing skills and the ability to communicate effectively in meetings, concerning complex structures and issues are essential.
  • Be willing to travel and work long hours and weekends (the rule, rather than the exception).
  • Be able to handle all aspects of billing and recovery.
  • Have AML & KYC experience and be familiar with the Proceeds of Crime Act and associated AML Regulations
