Under the direction of the Chief Executive Officer (“CEO”), the Office of the CEO, which is comprised of the Senior Executive Managers and the Public Relations team, is responsible for developing and implementing the Cayman Islands Monetary Authority (CIMA)’s strategic plan and ensuring an efficient, effective, professional operation that meets or exceeds international standards. Reporting functionally to the Chair of the Board of Directors and administratively to the Chief Executive Officer (or designated senior executive), the Board Secretary is responsible for ensuring the effective administration of the Board of Directors and its Committees, providing high-quality governance support, and ensuring compliance with statutory, regulatory, and governance requirements applicable to the Cayman Islands Monetary Authority. The role acts as the primary custodian of Board processes, records, and decision-making.
Serve as Secretary to the Board of Directors and all standing and ad hoc Board Committees; Plan, coordinate and attend Board and Committee meetings, including preparation and timely distribution of agendas and papers; Ensure meetings are conducted in accordance with applicable legislation, CIMA’s governing instruments, and Board-approved governance frameworks; Ensure compliance with the Monetary Authority Act, Public Authorities Act, relevant regulations, internal governance policies, and any other applicable legal or regulatory requirements; Support periodic reviews of Board and Committee terms of reference, and governance policies; Monitor developments in corporate governance, regulatory expectations, and public-sector governance standards relevant to CIMA. Act as custodian of official Board records, including minutes, resolutions, registers, policies, and governance documents; Ensure the secure handling, confidentiality, and proper retention of Board materials and sensitive information; and ensure that corporate records are retained in accordance with applicable laws and regulations; Maintain registers of Directors’ interests, declarations, appointments, tenure, and attendance. Support the induction and ongoing education of Board members, including governance briefings and regulatory updates; Coordinate Board evaluations, Director performance assessments, and governance effectiveness reviews as required; Ensure that Board Members have access to legal documents, references and resources for discharging their fiduciary duties to all stakeholders; Serve as a key point of contact between the Board and Management; Coordinate with external advisers, auditors, and government entities on matters involving Board governance; and Support the execution of Board decisions and ensure appropriate communication and documentation.
The minimum qualifications required to successfully perform the job are as follows: A university degree in Law, Business Administration, Finance, Public Administration, or a related discipline; Professional qualifications such as Chartered Secretary (CG/FCG), Attorney-at-Law, or equivalent governance-related certification are highly desirable; Five (5) years of experience in performing duties as corporate secretary or in a senior legal capacity; Significant experience in a senior governance, company secretarial, legal, or regulatory role, preferably within a financial services regulator, public authority, or highly regulated environment; Demonstrated experience supporting Boards and Board Committees at a senior or statutory level; and Strong knowledge of corporate governance principles, statutory compliance, and public-sector accountability frameworks.
